Quotation Conditions

3.1 Nature of Quotations

All pricing, lead times, and availability information communicated verbally, via email, or through online inquiry forms are indicative only and do not constitute a binding offer. A formal quotation issued by Emily Metal's sales department on official company letterhead or document format represents our formal offer and is subject to the specific terms stated therein.

3.2 Quotation Validity

Unless otherwise stated, formal quotations are valid for thirty (30) calendar days from the date of issue. Prices are subject to change without notice due to fluctuations in raw material costs, currency exchange rates, energy costs, logistics rates, or other market conditions. Emily Metal reserves the right to revise or withdraw any quotation prior to acceptance.

3.3 Quotation Basis

Quotations are prepared based on the specifications, quantities, and delivery requirements provided by the buyer at the time of inquiry. Any changes to specifications, quantities, delivery schedules, or other requirements after a quotation has been issued may result in revised pricing and lead times. Emily Metal is not responsible for quotation inaccuracies resulting from incomplete or incorrect information provided by the buyer.

3.4 Minimum Order Requirements

Certain products may be subject to minimum order quantities (MOQ) or minimum order values. These requirements will be clearly stated in formal quotations. Emily Metal reserves the right to decline orders that do not meet applicable minimum requirements.

Order Communication

4.1 Order Placement

All purchase orders must be submitted in writing via official purchase order documents, email, or other agreed written formats. Verbal orders or orders communicated through informal channels will not be accepted or processed. An order is considered confirmed only upon receipt of Emily Metal's written order acknowledgment.

4.2 Order Specifications

Purchase orders must clearly specify the material grade, product form (sheet, plate, bar, tube, wire, etc.), dimensions, applicable standards, required certifications, quantity, requested delivery date, and shipping destination. Emily Metal is not liable for production errors or delivery failures arising from incomplete, ambiguous, or incorrect order specifications provided by the buyer.

4.3 Order Modifications and Cancellations

Requests to modify or cancel confirmed orders must be submitted in writing at the earliest opportunity. Order modifications or cancellations may not be possible once production has commenced. Any approved modifications or cancellations may be subject to costs incurred by Emily Metal up to the point of the request, including but not limited to raw material procurement costs, processing fees, and restocking charges.

4.4 Communication Language

All official business communications, including quotations, order acknowledgments, and contractual correspondence, shall be conducted in English unless otherwise mutually agreed in writing. In the event of any discrepancy between communications in different languages, the English version shall prevail.

Intellectual Property

5.1 Ownership

All content on this Site, including but not limited to text, product descriptions, technical data sheets, images, graphics, logos, icons, design elements, and the overall Site design and layout, is the exclusive intellectual property of Emily Metal or its licensed content providers. All rights are reserved. The Emily Metal name, logo, and all associated trademarks and service marks are proprietary to Emily Metal.

5.2 Limited License

Emily Metal grants you a limited, non-exclusive, non-transferable, revocable license to access and view the content of this Site solely for the purpose of evaluating Emily Metal's products and services for legitimate business purposes. Limitation of Liability

Emily Metal expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement. You agree to indemnify, defend, and hold harmless Emily Metal, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Site, or your infringement of any third-party rights.

7.5 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from or in connection with these Terms or the use of this Site shall be subject to the exclusive jurisdiction of the courts designated in Emily Metal's formal sales contracts. For website-related matters, Emily Metal reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction.
